Vendor Listing Agreement

This Vendor Listing Agreement ("Agreement") governs the listing of a vendor ("Vendor," "you") in the GLPbase Pro directory operated by Citrine Axis LLC ("GLPbase Pro," "we"). By submitting a listing or accepting placement, you agree to this Agreement.

1. Eligibility

You are a lawfully organized, currently operating US business and, where your category requires it, hold the licenses, registrations, accreditations, or certifications required to provide your products or services.

2. Accurate-claims attestation

You represent and warrant that all information you provide is truthful, accurate, and not misleading, and that your marketing on and off the Service complies with the FTC Act, state advertising and telehealth laws, and all other applicable laws and regulations. You will not make false or unsubstantiated efficacy, safety, or outcome claims, and you will not market unlawful, off-label, or unapproved uses of any drug, including compounded GLP-1 medications.

No patient information / PHI. You must not upload patient names, patient images, patient contact information, medical records, lab results, prescriptions, testimonials containing identifiable patient information, or other protected health information through the Service.

3. Credential verification and ongoing re-verification

You authorize us to verify your category credential against the applicable public source (e.g., FDA 503B list, NPPES NPI, CMS CLIA, state boards, NIPR/state DOI, NMLS, ACCME, ONC CHPL, CDR). You agree to:

• provide a valid credential where one is required for your category;
• maintain that credential in good standing for the duration of your listing; and
• promptly notify us of any lapse, suspension, revocation, disciplinary action, or material change.

We may, at our discretion, verify or re-verify your credential, and may suspend or remove any listing on credential lapse, failed verification, or a substantiated complaint. We do not commit to any particular verification schedule or to ongoing monitoring.

4. Listing is not an endorsement

You acknowledge that a listing — including any paid placement or "Verified" status — is not an endorsement, certification, or guarantee by GLPbase Pro, and you will not represent it as such.

5. Fees and placement (if applicable)

Sponsored (paid) listing fees, terms, and any minimum commitments are as stated at signup or in your order. Sponsorship does not affect verification status. Sponsored listings are marked "Sponsored."

Recurring subscriptions. Paid listings renew automatically unless canceled before the next billing date. The signup page will state the billing interval, price, renewal terms, cancellation method, and refund policy. You may cancel through your account or by contacting support@glpbasepro.com. Cancellation stops future billing but does not refund prior fees unless stated otherwise.

Non-refundable once published. Once your listing has been published (made live in the directory), all fees for the then-current billing period are non-refundable. Cancellation stops billing from the next renewal date onward; it does not refund a period during which your listing was live.

6. License to display

You grant GLPbase Pro a non-exclusive, royalty-free license to display your business name, logo, description, and listing information on the Service and in related promotional materials, for the purpose of operating and promoting the directory.

7. Representations, warranties, and compliance

You represent and warrant that: (a) you have the right to provide all listing content and grant the license above; (b) your content does not infringe third-party rights; (c) you hold all required licenses; and (d) you will comply with all applicable healthcare, advertising, privacy, and consumer-protection laws.

8. Indemnification

You will indemnify, defend, and hold harmless GLPbase Pro and its operators from any claims, damages, or expenses arising out of your products or services, your listing content, your marketing, your breach of this Agreement, or your violation of law.

9. Suspension and termination

We may suspend or remove your listing at any time for breach, failed/expired verification, complaint, or unlawful conduct, with or without notice. You may request removal at any time via support@glpbasepro.com.

We may review, edit, reject, refuse, suspend, or remove any listing content at any time, including content we believe may be misleading, unsupported, unlawful, promotional of unapproved drug uses, infringing, privacy-violating, or inconsistent with our directory standards. Publication does not mean GLPbase Pro approves, endorses, or verifies the claims in the listing.

10. Disclaimers and limitation of liability

The Service is provided "as is." To the maximum extent permitted by law, GLPbase Pro will not be liable for indirect or consequential damages.

11. Governing law

This Agreement is governed by the laws of the State of Texas.
